1 THE CONCEPT OF JOINT VENTURE

The Sino-foreign joint venture is the enterprise that foreign companies, enterprise and other economic organizations or individuals (hereinafter referred to as "foreign joint ventures") to establish equity joint venture together with Chinese companies, enterprise and other economic organizations (hereinafter referred to as "Chinese joint ventures") within the territory of the People's Republic of China, on the principle of equality and subject to approval by the Chinese Government. Both parties to the venture shall share the profits, risks and losses in proportion to their contributions to the registered capital.

2、PREFERENTIAL POLICIES
1. The enterprise enjoy tax net profit holidays for the first two years and half tax for the following three years since the company makes profit.
2 .The high-tech manufacturing enterprises in Shenzhen can enjoy more preferential policies.
3. There are some preferential policies esp. for manufacturing when the manufacturers buy the land which would be used as workshop within Chinese territory.

3、REGISTERED AND PAID-UP CAPITAL
The registered capitals for trading enterprises are usually required as much as RMB 500,000 or above. For manufacturing enterprises, RMB 1 million or above is required, for consultancy and technology 100,000RMB or above is required. In Beijing China , the registered capital paid –up should be finished once,also in two years .

4、PROSESS
Step1: Fill in the application form (sign the agreement)
Step2: Entitle the company name
Step3: pay for the earnest money (50% of total)
Step4: submit the needed document
Step5: check the document
Step6: submit all the document to the government
Step7: inform the course to the customer
Step8: finished in the 20-50 working days
Step9: inform the customer to take the document
Step10: pay the spare money
Step11: sign the receipt.

5、DOCUMENTS REQUIRED
1) Application for the establishment of a foreign enterprise (signed by legal representative of authorized representative)
(2) Feasibility study report.
(3) Articles of association of the foreign enterprises.
(4) List of the legal representative or members of the board of directors of the foreign enterprises, the certificates of appointment of members of the board.
(5) Foreign partner's commercial certificate of registry valid
(6) The investor's creditability certificate effective issued by the bank.
(7) Appointment letter and passports copy of all the directors
(8) ID card of Observer
(9) ID card of leage person and 3 photos
(10) Administration entrustment
(11) Administration application
(12) Contract of rent or purchase office location
(13)Other required documents. If the above-mentioned documents were written in foreign languages, a Chinese translation version to be enclosed.

7、THE TIME NEEDED
(1) For manufacturing enterprise: 50 --70working days will be finished. (Count the time after the approval of environment & fire and the detailed time depends on the operation type)
(2) For the non-manufacturing enterprise : 50--70 working days will be finished.
